Terms of Service

These Terms of Service ("Terms") govern access to and use of the website located at songbirdstrategies.io and any related sub‑domains (collectively, the "Site"), including the proprietary AI‑tools platform powered by OpenAI's API (the "Platform"), each owned and operated by Songbird Strategies LLC, a Delaware limited liability company ("Songbird Strategies," "Company," "we," "us," or "our").

By accessing or using the Site or Platform you ("you" or "User") agree to be bound by these Terms. If you do not agree, do not access or use the Site or Platform.

1. Changes to These Terms

We may modify these Terms at any time. Material changes will be posted on the Site and will become effective immediately upon posting. Your continued use of the Site or Platform after changes become effective constitutes acceptance of the revised Terms.

2. Description of the Services

The Site provides business information and access to the Platform, which enables Users to submit free‑text prompts (up to 250 characters) and receive AI‑generated responses. Users are not required to create accounts or make payments to use the current version of the Platform.

3. User Inputs and Conversation Data

Input Content

You may submit free‑text content ("Input") to the Platform. You represent and warrant that you have all rights necessary to provide the Input and that it does not violate any law or third‑party right.

Retention

Input and the corresponding AI‑generated responses (collectively, "Conversation Data") are stored on Company servers for up to 24 hours solely to maintain conversation context. After 24 hours Conversation Data is automatically deleted from our systems, subject to any legal obligations to preserve records.

Third‑Party Processing

Conversation Data is transmitted to OpenAI, LLC via its API. According to OpenAI's published terms, such data is not used to train or improve OpenAI models unless you have explicitly opted in. OpenAI may retain request logs for up to 30 days to detect abuse. We do not authorize OpenAI or any other third party to use Conversation Data for marketing.

No Re‑Use by Company

Songbird Strategies does not publish, redistribute, or otherwise exploit your Input or outputs.

4. Automatic Data Collection and Analytics

We use Google Analytics to collect technical information about Site usage, including: IP address, browser type and version, device identifiers, pages visited, navigation paths, session duration, referrer URLs, geographic region (approximate), and user interactions (clicks, scrolls, form submissions). This information is used to operate, maintain, and improve the Site. Google Analytics may set its own cookies or similar technologies; see our separate Privacy Policy for details.

5. Intellectual‑Property Rights

5.1 Site and Platform

Except for your Input, the Site, Platform, and all content and software therein are owned by Songbird Strategies or its licensors and are protected by intellectual‑property laws. We grant you a limited, non‑exclusive, non‑transferable license to access and use the Site and Platform for lawful business purposes in accordance with these Terms.

5.2 User Rights to AI Outputs

Subject to compliance with these Terms, you receive a perpetual, worldwide, royalty‑free, transferable, and sublicensable license to use, reproduce, modify, distribute, display, and create derivative works from the AI‑generated outputs you receive from the Platform for any lawful purpose, including commercial purposes. Songbird Strategies disclaims and assigns to you any copyright it may hold in such outputs to the fullest extent permitted by law.

6. Prohibited Conduct

You agree not to:

Use the Site or Platform in violation of any applicable law or regulation;
Submit Input that is unlawful, defamatory, infringing, harassing, hateful, or otherwise objectionable;
Attempt to reverse‑engineer, decompile, or disassemble the Platform or any portion of the Site;
Interfere with or disrupt the Site, networks, or servers;
Use any automated means (bots, scrapers) to access the Site or Platform without our prior written consent;
Misrepresent your identity or affiliation, or engage in any fraudulent activity;
Bypass any security or access‑control measure of the Site or Platform.

7. Disclaimers

Informational Purposes Only

The Site, Platform, and AI‑generated outputs are provided "as is" for general informational purposes and do not constitute legal, financial, medical, or other professional advice. You should consult appropriate professionals before acting on any information.

No Warranties

To the maximum extent permitted by law, Songbird Strategies disclaims all warranties, express or implied, including accuracy, merchantability, fitness for a particular purpose, and non‑infringement. We do not warrant that the Site or Platform will be uninterrupted, error‑free, or secure.

8. Limitation of Liability

To the fullest extent allowed by law, Songbird Strategies, its affiliates, officers, directors, employees, and agents will not be liable for any indirect, incidental, consequential, special, punitive, or exemplary damages (including lost profits, revenues, data, or goodwill) arising from or relating to the Site, Platform, or these Terms, even if advised of the possibility of such damages. In no event will our aggregate liability exceed one hundred U.S. dollars (US $100). Some jurisdictions do not allow certain limitations; in such cases, liability shall be limited to the greatest extent permitted.

9. Indemnification

You agree to indemnify, defend, and hold harmless Songbird Strategies and its officers, directors, employees, and agents from and against any third‑party claims, demands, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or related to your Input, your use of the Site or Platform, or your violation of these Terms.

10. Governing Law

These Terms and any dispute arising hereunder are governed by and construed in accordance with the laws of the Commonwealth of Virginia, without regard to its conflict‑of‑law principles.

11. Mandatory Arbitration

11.1 Agreement to Arbitrate

Any dispute, claim, or controversy arising out of or relating to these Terms or the use of the Site or Platform shall be resolved by binding arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules then in effect (the "Rules").

11.2 Seat and Venue

The arbitration shall take place in Falls Church, Virginia (or, if the Rules permit and the arbitrator determines, by videoconference). Judgment on the award may be entered in any court having jurisdiction.

11.3 Fees and Costs

The parties shall split arbitration fees and costs evenly, unless otherwise agreed or directed in the final award. Each party shall bear its own attorneys' fees.

11.4 No Class Proceedings

The parties agree that arbitration shall proceed solely on an individual basis, and class, collective, or representative actions are not permitted.

12. Termination

We may suspend or terminate your access to the Site or Platform at any time, with or without notice, for conduct that we believe violates these Terms or is otherwise harmful.

13. Export Compliance

You must comply with all applicable export‑control laws and regulations. You represent that you are not located in, or a resident of, any country or territory subject to U.S. sanctions.

14. Severability

If any provision of these Terms is held unlawful or unenforceable, that provision will be severed and the remaining provisions will remain in full force.

15. Entire Agreement

These Terms constitute the entire agreement between you and Songbird Strategies regarding the Site and Platform and supersede any prior agreements or understandings.
